Description

Counsel/Senior Counsel – Lower 48 Transactions, reporting to Lead Counsel – Lower 48 Transactions. Member of the legal team that supports ConocoPhillips’ Lower 48 acquisitions, divestitures, and other material transactions.

Job Description

Your responsibilities may include:

Advising clients throughout the transactional life cycle, including conducting due diligence, reviewing marketing materials, assisting in preparation for data rooms, negotiating confidentiality agreements, participating in negotiations, and facilitating closing and post-closing matters
Drafting and negotiating purchase and sale agreements, lease and producing property exchange agreements, conveyance documents, and other types of agreements common to acquisitions, divestitures, farmouts, and exchanges in the industry
Identifying and analyzing legal issues and providing legal advice to management and staff regarding transactions and related oil and gas and commercial matters
Collaborating with other functions within ConocoPhillips and the Legal Department, including operational attorneys, Corporate A&D, Business Development, Lower 48 Land, HSE, HR, Litigation, Intellectual Property, Supply Chain, and Tax on matters affecting those specialty areas
Providing direction on the design, development, and implementation of policies and procedures for the purpose of proactively handling legal risk in Lower 48 transactions
Collaborating with peers to continuously improve transactional practice through forms development, peer reviews, continuing education and training, and other improvement efforts

Basic/Required:

Must be legally authorized to work in the United States on a full-time basis for anyone other than current employer
J.D. degree from a law school accredited by the American Bar Association
Admission to any State Bar
5+ years of experience handling domestic oil and gas exploration and production transactions and related agreements and legal issues
Willing and able (with or without reasonable accommodations) to travel 10% on a yearly basis

Preferred:

Strong written and oral communication and contract drafting skills
Thorough working knowledge of exploration and production transactions and related contracts, including both general oil and gas operational matters and A&D transactions.
Mature judgment and discretion
Strong individual initiative, discipline, and commitment to superior performance and continuous learning and improvement
Strong drafting, negotiation, advocacy, presentation, and collaboration skills
Ability to communicate clearly and effectively, orally and in writing
Ability to manage and prioritize assignments that may be broad in scope and complexity, and that involve collaboration with employees in different departments or with varying levels of seniority
Ability to work well under pressure and handle multiple deadlines and transactions
Ability to work independently within broadly defined objectives, performing job functions without extensive supervision
Ability to learn quickly and apply Company policies, procedures, operations, and industry practices
Strong analytical, conceptual, problem-solving, planning, evaluation, and legal project management skills
Ability to establish professional credibility with variety of clients and management
